PhonePe gets SEBI nod for IPO; fintech’s payments-led scale meets public-market scrutiny next

Walmart-owned PhonePe has received SEBI approval for its IPO, a key step toward a major listing for India’s digital payments sector as investors weigh revenue mix, profitability trajectory and growth.

Regulatory green light for a marquee listing

PhonePe has received approval from the Securities and Exchange Board of India (SEBI) to proceed with its initial public offering (IPO), according to a Financial Express report dated 20 January 2026. The clearance moves the Walmart-owned fintech closer to a public-market debut in what would be closely watched as a bellwether for India’s digital payments ecosystem.

The company operates across payments and adjacent financial services, and its scale has made it a frequent reference point in debates on competition, pricing and monetisation in consumer fintech.

Revenue mix and business model signals

The report notes that PhonePe earns across multiple lines, including payment services and income from lending and insurance distribution. It also charges merchants set-up and subscription fees for point-of-sale (PoS) payment devices, reflecting a push to diversify beyond pure consumer payments.

As with many platform businesses, the market focus will likely be on how quickly higher-margin streams scale relative to core payments volumes, and how durable those revenues are across cycles and regulation.

What investors will watch

After a SEBI nod, investor attention typically shifts to IPO structure, timing, and detailed financial disclosures. For PhonePe, scrutiny is expected on operating leverage, unit economics in merchant and financial services lines, and competitive dynamics in UPI-linked payments.

If the listing proceeds, it could also influence valuations and fundraising conditions for other Indian fintechs—especially those building around payments, distribution, credit and embedded finance.
